Terms of Service
Welcome to TypeTeam, a service operated by YTPROMO LLC (“YTPROMO”, “we”, “our”, or “us”). By clicking “I agree” or by accessing or using TypeTeam (“Service”), you agree to be bound by these Terms. These Terms form a legally binding agreement between you (“you” or “User”) and YTPROMO LLC. If you do not agree to these Terms, you must not access or use our Service.
1. Service Description:
TypeTeam is a business-to-business (B2B) transcription and captioning software platform. It provides tools for professionals and agencies to:
· Perform manual and AI-assisted transcription/captioning
· Generate SRT caption files
· Collaborate via task assignment, commenting, and sharing
· Enhance productivity through custom shortcuts and editor tools
YTPROMO LLC does not offer transcription services to end clients. The Service is a SaaS tool for professionals who provide those services themselves.
The Service is provided under a lifetime license, which means you pay a one-time fee for access to the Service for the duration of its availability. However, “lifetime” refers to the lifetime of the Service as operated and maintained by YTPROMO LLC, and not to the lifetime of any individual user. This license does not guarantee indefinite updates, maintenance, or customer support beyond the duration specified herein.
2. Eligibility:
You must be at least 18 years old to use TypeTeam. By registering, you confirm you are legally able to enter into contracts. If you use TypeTeam on behalf of a business, you confirm you are authorized to bind that business to these Terms.
3. Account and Responsibilities:
You are responsible for:
· Keeping your login credentials confidential
· All activity occurring under your account
· Ensuring the legality of your use and the uploaded content
If you suspect any unauthorized access to your account, notify us at support@typeteam.app. While we will make reasonable efforts to assist you, we are not responsible for any unauthorized access or resulting damages.
Our software is provided for general transcription and captioning purposes only and is not intended for use in legal, medical, accessibility-compliance, or other critical contexts. We make no guarantees regarding the accuracy, completeness, or legal adequacy of any output generated by the software. You are solely responsible for reviewing and validating all results before relying on them.
You are solely responsible for any content created, exported, shared, or distributed using our software. We do not monitor, verify, or endorse any content generated by users and disclaim all liability arising from such use.
Use of our logo or branding in content outputs does not imply our endorsement, authorship, or review of the resulting content.
4. User Content and Ownership:
You retain ownership of the content you upload, including audio/video files, transcripts, and metadata (“User Content”).
You grant YTPROMO LLC a limited, non-exclusive, royalty-free license to:
· Process your content to deliver the Service
· Improve our platform using anonymized, aggregated data (unless you opt out)
We will never use or disclose your identifiable data for marketing or publication without your consent.
5. Data Hosting and Security:
Your data is hosted securely on Amazon Web Services (AWS) and protected with:
· Encryption at rest and in transit
· Role-based access controls
· Regular backups
We follow industry best practices, but we cannot guarantee 100% security. You use the Service at your own risk and are responsible for backing up your own data when needed.
6. Data Protection:
We take reasonable technical and organizational measures to protect your data, including encryption in transit and at rest, access controls, and regular backups. However, we do not currently claim compliance with specific regulatory frameworks such as GDPR or HIPAA. You are solely responsible for ensuring that your use of the Service complies with applicable laws and regulations in your jurisdiction, particularly when handling sensitive or personal data.
7. Prohibited Conduct:
You agree not to:
· Upload illegal, infringing, obscene, or abusive content
· Share login credentials outside your authorized team
· Attempt to reverse-engineer, scrape, or exploit the platform
· Use the Service for spam, fraud, or surveillance
Violation may result in immediate account suspension or termination.
8. Intellectual Property
· You own your content.
· YTPROMO LLC owns the platform, features, code, design, and brand assets of TypeTeam.
· You may not copy, sell, or reproduce our software without permission.
9. Availability & Support:
We aim to provide a reliable service, however, we cannot guarantee uninterrupted uptime. Scheduled maintenance or outages may occur. Support is available via email at support@typeteam.app.
10. Pricing & Refund Policy:
Access to TypeTeam is provided via a one-time, lifetime license fee. By purchasing a license, you agree to pay the stated fee in full and understand that all payments are final.
Refunds: We do not offer refunds for:
· Partial use of the service
· User error
· Service deprecation or termination after purchase
In rare cases of system-wide failures caused solely by us, we may issue a partial refund at our sole discretion. No other compensation or remedies shall apply.
11. Termination
YTPROMO LLC may suspend or terminate your account if:
· You breach these Terms
· You fail to pay any applicable fees
· Legal or compliance concerns arise
Upon termination, your data will be retained for up to thirty (30) days to allow you to export your content, after which it will be permanently deleted unless retention is required by law.
In the event that we decide to discontinue the software or terminate the Service for any reason, we will provide you with at least fourteen (14) days’ prior written notice when reasonably practicable.
Since this is a lifetime license, you acknowledge and agree that no refunds, partial or otherwise, will be issued upon termination or discontinuation of the Service.
YTPROMO LLC reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with reasonable prior notice when practicable.
YTPROMO LLC may modify features or functionality of the Service as part of ongoing improvements, provided that such modifications do not materially reduce the core functionality promised at the time of license purchase.
12. Modifications to Terms:
We reserve the right to update these Terms at any time. If we make material changes, we will notify you by email or in-app notice. Continued use after changes implies acceptance.
13. Limitation of Liability:
To the fullest extent permitted by applicable law:
· We are not liable for indirect, incidental, special, or consequential damages.
· Our maximum aggregate liability shall not exceed fifty percent (50%) of the license fee paid, or USD 500, whichever is lower.
· No AI transcription is perfect; results must be manually verified.
You expressly waive any right to claim damages exceeding this amount or to seek punitive or statutory damages. These limitations form an essential part of the bargain.
14. Dispute Resolution & Governing Law:
These Terms are governed by the laws of the State of Delaware, USA.
All disputes arising out of or relating to these Terms shall be resolved through binding arbitration in Wilmington, Delaware, unless otherwise required by applicable law. If you are located outside the United States, this arbitration clause shall not apply, and disputes shall be resolved under applicable jurisdictional law.
You agree to waive any right to participate in class-action lawsuits or class-wide arbitration to the maximum extent permitted by law.
15. Support Duration and Scope:
Your purchase includes complimentary support for a period of six (6) months from the date of purchase. During this period, you may contact our support team for assistance related to the use of the Service.
After the initial six-month period, continued support—including technical help, troubleshooting, or usage questions—may require the purchase of a separate support package or incur additional fees. YTPROMO LLC reserves the right to define the scope and pricing of extended support options.
